Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website, accounts, paid subscriptions, and desktop applications SanuDesk and SanuVoice (together, the "Services") provided by Sanulux Software ("we", "us", or "our"). By using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility and accounts

You must be at least 16 years old and able to form a binding contract to use the Services. Some features, such as syncing your plan to the desktop app and managing a subscription, require an account. You agree to provide accurate information, to keep your credentials secure, and to be responsible for all activity under your account. Notify us promptly of any unauthorized use.

2. The desktop apps

SanuDesk is free to download and use. SanuVoice is a companion dictation tool. We grant you a personal, non-exclusive, non-transferable, revocable license to install and use the apps on devices you own or control, for their intended purpose. The apps run locally on your machine; you are responsible for your own hardware, operating system, and data.

You agree not to:

• reverse engineer, decompile, or attempt to derive the source code of the apps, except where that restriction is prohibited by law;
• resell, sublicense, or redistribute the Services;
• use the Services to break the law or infringe others' rights;
• circumvent plan limits, security, or authentication, or interfere with the Services' operation.

3. Third-party AI tools and accounts

SanuDesk helps you run AI coding agents (such as Claude Code and Codex) using your own third-party accounts and API keys. Those tools are operated by their respective providers, and your use of them is governed by their terms and pricing. You are solely responsible for your third-party accounts, any charges they incur, and for reviewing the output those tools produce before you rely on it. We are not responsible for third-party services.

4. Subscriptions, billing, and cancellation

The Services include a free tier and a paid Pro plan. Paid plans are billed in advance on a recurring monthly basis through our payment processor, Stripe. By subscribing, you authorize us to charge your payment method for the plan you select, including applicable taxes, until you cancel.

• Auto-renewal. Subscriptions renew automatically each period unless cancelled beforehand.
• Cancellation. You may cancel anytime from your account page. Your plan stays active through the end of the period you already paid for, then drops to the free tier. We do not provide prorated refunds for partial periods except where required by law.
• Founder pricing. Where offered, a discounted founder rate applies for as long as the qualifying subscription stays continuously active; if it lapses, standard pricing applies on resubscribe.
• Price changes. We may change plan prices or features. We will give reasonable notice of changes affecting your active subscription, and changes take effect on your next renewal.
• Failed payments. If a charge fails, we may retry it and may suspend or downgrade Pro features until payment succeeds.

5. Your content

You retain all rights to the projects, code, files, and other content you create or work with using the Services. Because the desktop apps operate locally, that content stays on your machine, and we claim no ownership or license over it.

6. Our intellectual property

The Services, including the SanuDesk and SanuVoice software, this website, and their names, logos, and design, are owned by Sanulux Software and protected by intellectual property laws. Except for the limited license granted above, these Terms give you no right to our trademarks or other intellectual property.

7. Availability and changes

We work to keep the Services available and current, but we may modify, suspend, or discontinue any part of them, including features, plans, or downloads, at any time. We are not liable to you for any modification, suspension, or discontinuation of the Services.

8. Disclaimer of warranties

The Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any output produced with their help will be accurate or suitable for your purposes. You use the Services, and any AI-generated results, at your own risk.

9. Limitation of liability

To the maximum extent permitted by law, Sanulux Software will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or relating to your use of the Services. Our total liability for any claim relating to the Services will not exceed the greater of the amount you paid us in the twelve months before the claim, or USD $50. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

10. Indemnification

You agree to indemnify and hold harmless Sanulux Software from any claims, damages, and expenses (including reasonable legal fees) arising from your misuse of the Services, your violation of these Terms, or your violation of any law or third-party right.

11. Termination

You may stop using the Services and close your account at any time. We may suspend or terminate your access if you breach these Terms or use the Services in a way that could harm us or others. On termination, your license to use the apps ends and any active subscription is handled as described in Section 4.

12. Governing law

These Terms are governed by the laws of the jurisdiction in which Sanulux Software is established, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the courts located there for any dispute that is not otherwise subject to a binding alternative process, to the extent permitted by law.

13. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, for material changes, provide a more prominent notice. Your continued use of the Services after a change takes effect means you accept the updated Terms.
